Terms Of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the services provided by CatalysIT, a sole proprietorship owned by Ismail Göktaş, registered in 3600 Genk, Belgium, under company number 1001.579.339 and VAT number BE 1001.579.339. By using any of our services, including those offered via www.catalysit.com and www.vocall.be, you agree to be bound by these Terms.
2. Services Provided
CatalysIT offers B2B services under the umbrella name "CatalysIT." These include, but are not limited to, software-as-a-service (SaaS) platforms, proprietary tools, AI automations, voice agents (Vocall.be), consulting services, website development, and systems integration. CatalysIT functions as the central legal and operational entity for all service offerings.
3. Acceptance and Scope of Terms
By engaging CatalysIT, the client confirms having read, understood, and accepted these Terms. Any deviating terms from the client are excluded unless explicitly agreed in writing by CatalysIT.
4. Offers and Agreement Formation
All offers are non-binding and directed only to the specified client. An agreement is established upon written acceptance or confirmation through any verifiable channel (e.g., email, SMS, WhatsApp). Where no term is specified, agreements are deemed valid for 3 months from the launch of the first deliverable.
5. Pause, Termination, and Renewal
Agreements cannot be terminated during their term without full payment of all agreed fees. Clients may request a one-time pause of up to 4 weeks with at least 31 days' notice. Contracts renew automatically unless cancelled within 14 days after the initial term ends. Late cancellations may incur a €200 administrative fee. Immediate termination is allowed in cases of insolvency, misconduct, or material breach.
6. Pricing and Invoicing
All prices are exclusive of VAT and apply only to B2B transactions. A startup fee is invoiced upon onboarding and payable within 7 days. Monthly invoices are issued starting 31 days after campaign launch and must be paid within 14 days. Late payments may incur:
Statutory interest;
A €40 late payment fee;
An additional €200 administrative fee.
All unpaid invoices become immediately due. Payment via SEPA B2B direct debit is available (3% admin fee applies).
7. Service Execution
CatalysIT operates under a best-effort obligation with full creative and technical autonomy. Client silence for 24 hours on proposed materials is considered approval. Clients must provide timely input and access; delays on their part do not shift delivery obligations or entitle them to compensation.
8. Intellectual Property
Unless explicitly agreed otherwise, CatalysIT retains all rights to materials developed under the contract. Clients receive a non-exclusive, non-transferable usage license valid for the duration of the agreement. Unauthorised use may result in a 50% surcharge. CatalysIT reserves the right to reference projects as part of its portfolio unless the client objects in writing.
9. Liability
CatalysIT provides systems and services for client use and disclaims liability for how they are used. CatalysIT is not liable for indirect, incidental, or consequential damages. Total liability is capped at the invoice amount for the specific service. In cases of force majeure, obligations may be suspended without liability.
10. Personal Data Processing
CatalysIT processes personal data in accordance with GDPR and applicable Belgian law. Full details can be found in our Privacy Policy, which forms an integral part of these Terms.
11. Governing Law and Jurisdiction
These Terms are governed by Belgian law. Any disputes shall first be resolved amicably. Failing that, the courts of the judicial district of Limburg, division Hasselt, shall have exclusive jurisdiction.
