Terms Of Service

1. Introduction
These Terms of Service ("Terms") govern your access to and use of the services provided by CatalysIT, a sole proprietorship owned by Ismail Göktaş, with business registration number 1001.579.339 and VAT number BE 1001.579.339, based in 3600 Genk, Belgium. By using any of our services, including those offered via www.catalysit.com and www.vocall.be, you agree to be bound by these Terms.
2. Services Provided
CatalysIT provides B2B services under the umbrella term "CatalysIT." These include (but are not limited to) software-as-a-service platforms, proprietary tools, AI automations, voice agents (Vocall.be), consulting hours, websites, and systems integration. CatalysIT acts as the core legal and operational structure under which all service offerings fall.
3. Acceptance and Scope of Terms
By engaging with CatalysIT, the client acknowledges having read, understood, and accepted these Terms. Deviating terms from the client are not accepted unless explicitly agreed to in writing by CatalysIT.
4. Offers and Agreement Formation
Each offer is non-binding and directed only to the specific client. An agreement is formed when the client accepts an offer in writing or through any traceable communication (e.g., email, SMS, WhatsApp). Agreements without a specified term are considered valid for 3 months, starting from the launch date of the first campaign.
5. Pause, Termination, and Renewal
The agreement cannot be terminated during its term without full payment of the agreed fee. A one-time pause of up to 4 weeks may be requested with 31 days' notice. Agreements automatically renew unless cancelled within 14 days after the initial term. Post-term cancellations may be subject to an administrative fee of €200. Termination is also possible without notice in case of insolvency, serious misconduct, or breach of contract.
6. Pricing and Invoicing
All prices are exclusive of VAT and intended for B2B transactions. A startup fee is invoiced upfront and must be paid within 7 days. Monthly invoices follow 31 days after the first campaign goes live and are payable within 14 days. Late payments incur interest, a €40 penalty, and may also trigger a €200 administrative fee. All invoices become immediately due in case of payment default. Direct debit via SEPA B2B is available with a 3% administrative fee.
7. Service Execution
CatalysIT provides services on a best-effort basis with full creative and technical freedom. Client approval is assumed if feedback is not given within 24 hours of a proposed campaign. Clients must provide timely access to needed information. Delays caused by the client do not entitle them to penalties.
8. Intellectual Property
All materials created by CatalysIT remain its intellectual property. Clients receive a non-transferable, non-exclusive right to use the materials for the contract term. Unauthorised use incurs a surcharge of 50% of the original fee. CatalysIT may showcase work for reference unless agreed otherwise.
9. Liability
CatalysIT is not liable for indirect or consequential damages. Liability is limited to the invoiced amount for the service in question. CatalysIT is not liable in cases of force majeure. Clients must report issues promptly and allow CatalysIT to resolve them.
10. Personal Data Processing
CatalysIT processes personal data in accordance with GDPR and applicable Belgian law. Full details can be found in our Privacy Policy, which forms an integral part of these Terms.
11. Governing Law and Jurisdiction
These Terms are governed by Belgian law. Disputes will first attempt resolution through mutual agreement. If unresolved, disputes fall under the exclusive jurisdiction of the courts of the judicial district of Limburg, Hasselt division.
